Deputy Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of Deputy (the “Service”), operated by Accordian Software Inc., a British Columbia company (“we”, “us”, “our”). By creating an account, accessing, or using the Service you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Accounts

You must provide accurate information when registering and keep your credentials secure. You are responsible for activity under your account. We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being used to harm other users or the Service.

You may delete your account at any time in Settings → Profile → Delete account, or by contacting us. On deletion, we remove your profile, your private content, your voice recordings, and your sign-in credentials from our systems. Shared content you authored that your organization still relies on may remain with the organization, attributed to your prior account.

3. Your content

You retain ownership of everything you submit to the Service — recordings, captures, voice notes, files, pages, messages, and integrations data (“User Content”). You grant us a limited, non-exclusive license to host, process, transcribe, index, and present User Content back to you, to members of your organization, and to anyone you share it with (including anyone who has a link you create), and to provide the Service's features including AI-driven summarization, search, and question-answering.

We do not sell User Content. We do not use User Content to train third-party general models. AI model providers we use may process User Content transiently to generate responses; we configure those providers not to retain the content for training wherever the provider offers that setting.

4. Deputy answers on your behalf

When you share a walkthrough, Deputy presents it and answers viewers’ questions for you, using the content you’ve given it, and may speak in the voice you’ve chosen. Viewers may take those answers as coming from you or your organization. You are responsible for the content you give Deputy and for what you share and with whom. Deputy’s answers can be wrong (see section 10), and when it can’t answer it sends the question to you.

5. Recording and consent

You are responsible for having the rights to what you record, upload and share, and for getting any consent the law requires from people whose voices, faces, screens or personal information appear in your recordings, meetings or other content.

6. Acceptable use

You agree not to:

• upload content that infringes others' rights or is unlawful;
• use the Service to send spam, malware, or to harass others;
• attempt to probe, scan, or reverse-engineer the Service except as permitted by law;
• resell or sublicense the Service without our written permission.

7. Third-party integrations

The Service integrates with third-party systems (Slack, Google Drive, Figma, Stripe, and AI providers including OpenAI, Google and Deepgram). Your use of those integrations is subject to the respective third party's terms. Disconnecting an integration in Settings → Integrations revokes our access.

8. Subscription & billing

Paid plans are billed in advance through Stripe for each billing period and renew automatically at the end of each period until you cancel. You can cancel anytime; your access continues through the period you’ve paid for, and the plan does not renew after it. Fees are non-refundable except as required by law or as explicitly stated in the plan details.

9. Indemnity

You will defend and indemnify Accordian Software Inc. and its officers, employees and agents against any third-party claim, and the resulting losses and costs (including reasonable legal fees), arising from your User Content, your use of the Service in breach of these Terms, or your violation of any law or of anyone else’s rights.

10. Disclaimers

The Service, including any AI-generated outputs, is provided “as is”. We make no warranty that AI responses are accurate, complete, or suitable for any particular purpose. You remain responsible for decisions based on Service output. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, neither we nor our licensors will be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us in the twelve months preceding the claim.

12. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-law rules. You and we agree to the exclusive jurisdiction of the courts of British Columbia, sitting in Vancouver, for any dispute arising out of or relating to these Terms or the Service. If you use the Service as a consumer, nothing in these Terms takes away rights you have under the laws of the place where you live.

13. Changes

We may update these Terms from time to time. Material changes will be communicated via the Service or via email to the account owner. Continued use of the Service after an update constitutes acceptance of the revised Terms.
